At GloxadX ("GloxadX," "Company," "we," "our," or "us"), we are committed to delivering innovative software solutions, artificial intelligence technologies, enterprise digital transformation services, cloud-based platforms, consulting, and professional technology services to organizations and individuals worldwide.

We value transparency, fairness, and customer satisfaction. This Refund Policy explains the circumstances under which refunds may be issued for purchases made through GloxadX, including software subscriptions, custom software development, enterprise solutions, consulting services, training programs, cloud services, APIs, digital products, and other offerings.

Because many of our products and services involve significant time, expertise, infrastructure, licensing, and resource allocation, not every purchase is eligible for a refund. This policy is intended to establish clear expectations while protecting both our customers and our business.

By purchasing or using any GloxadX product or service, you acknowledge that you have read, understood, and agreed to this Refund Policy, our Terms of Service, and any applicable agreements governing your purchase.

Scope of this Refund Policy

This Refund Policy applies to purchases made directly from GloxadX through our websites, software platforms, mobile applications, customer portals, authorized sales representatives, or enterprise sales channels.

This policy governs refunds relating to, but not limited to:

  • Software-as-a-Service (SaaS) subscriptions
  • Enterprise software licenses
  • Artificial Intelligence (AI) products and services
  • Cloud-hosted applications
  • APIs and developer services
  • Custom software development
  • Mobile and web application development
  • Digital products and downloadable software
  • Professional consulting services
  • Digital transformation projects
  • Technical support plans
  • Managed services
  • Technology training programs
  • Workshops and certification programs
  • Business advisory services
  • Product implementation services
  • Integration and migration services

Certain enterprise agreements, procurement contracts, statements of work (SOWs), master service agreements (MSAs), or custom contracts may include refund or payment terms that differ from this policy. Where such agreements exist, the terms of the signed agreement shall take precedence.

Definitions

For purposes of this Refund Policy:

"Customer" means any individual, business, government agency, educational institution, nonprofit organization, or other entity purchasing products or services from GloxadX.

"Subscription" means any recurring payment arrangement that grants access to software, cloud services, APIs, AI services, or other recurring offerings.

"Digital Product" means any downloadable or electronically delivered software, templates, plugins, source code, documentation, licenses, reports, datasets, or digital resources.

"Professional Services" means consulting, advisory services, implementation, customization, deployment, project management, technical assistance, or other expert services provided by GloxadX.

"Custom Development" means software, applications, websites, APIs, integrations, AI models, automations, or systems specifically developed for a customer according to agreed requirements.

"Business Day" means any day excluding Saturdays, Sundays, and public holidays recognized in the jurisdiction where the relevant GloxadX office responsible for the transaction operates.

General Refund Principles

At GloxadX, every refund request is evaluated carefully and fairly.

Our products and services often require immediate allocation of engineering resources, cloud infrastructure, software licensing, project planning, and professional expertise. For this reason, refunds are not automatically granted simply because a customer changes their mind after purchasing.

Refund decisions may take into consideration factors including:

  • The type of service purchased.
  • Whether the service has already been delivered.
  • Whether work has commenced.
  • The extent of services already rendered.
  • Contractual obligations.
  • Licensing costs incurred.
  • Third-party expenses already paid.
  • Applicable laws and mandatory consumer protection requirements.
  • Good faith efforts made by both parties to resolve the issue.

Where possible, GloxadX prefers to resolve customer concerns through corrective action, replacement services, technical assistance, service credits, subscription adjustments, or project remediation before considering a monetary refund.

Services Generally Eligible for Refund Consideration

Depending on the circumstances, refunds may be considered for:

  • Duplicate payments.
  • Incorrect billing due to system error.
  • Accidental duplicate subscriptions.
  • Unauthorized transactions confirmed after investigation.
  • Service failures directly caused by GloxadX where no reasonable remedy can be provided.
  • Purchases made in error where services have not yet been activated or delivered.
  • Subscription cancellations that qualify under this policy.
  • Refunds required by applicable consumer protection laws.

Eligibility for a refund does not guarantee that a refund will be approved. Each request is reviewed individually based on the facts of the case.

Services Generally Not Eligible for Refund

Unless required by applicable law or expressly agreed in writing, refunds will generally not be provided for:

  • Completed software development projects.
  • Completed consulting engagements.
  • Delivered digital products.
  • Downloaded software.
  • Source code delivered to the customer.
  • Software licenses that have already been issued or activated.
  • Time spent on project planning, design, discovery, architecture, or technical consultation.
  • Subscription periods that have already been used.
  • Training sessions that have already been attended.
  • Certification examinations already completed.
  • Customized solutions developed specifically for a client.
  • Professional services already rendered.
  • Third-party licensing costs already incurred.
  • Domain registration fees.
  • Hosting services already consumed.
  • Cloud infrastructure costs already incurred.
  • Government taxes, regulatory fees, or statutory charges that cannot legally be refunded.

Subscription Services

Many GloxadX products are offered on a recurring subscription basis. Subscription fees provide continuous access to software platforms, cloud infrastructure, AI services, APIs, technical support, security updates, maintenance, and feature enhancements.

Subscription charges are generally billed:

  • Monthly
  • Quarterly
  • Annually
  • Multi-year for enterprise agreements

By purchasing a subscription, you authorize GloxadX to charge the applicable subscription fee according to the selected billing cycle unless cancelled in accordance with this policy.

Free Trials

From time to time, GloxadX may offer free trials, promotional access, pilot programs, proof-of-concept deployments, or evaluation licenses.

Unless otherwise stated:

  • Free trials automatically expire at the end of the promotional period.
  • Trial users are responsible for cancelling before the end of the trial if they do not wish to continue.
  • Once a paid subscription begins, charges become subject to this Refund Policy.
  • Features available during a free trial may differ from commercial offerings.

Abuse of free trials, including creating multiple accounts to extend promotional access, may result in suspension or termination of access.

Subscription Cancellations

Customers may cancel recurring subscriptions at any time through their account settings or by contacting GloxadX Customer Support.

Cancellation will generally prevent future billing but does not automatically entitle the customer to a refund for fees already paid.

Unless required by applicable law or otherwise agreed in writing:

  • Monthly subscription fees are non-refundable after the billing period has begun.
  • Annual subscription fees are generally non-refundable after activation.
  • Customers will continue to have access to subscribed services until the end of the paid billing period, unless access is suspended or terminated under our Terms of Service.
  • No partial refunds or prorated refunds will be issued for unused portions of a billing period unless expressly required by law or approved by GloxadX.

Customers are responsible for cancelling subscriptions before the next renewal date. Failure to cancel before renewal may result in the next subscription charge becoming due and payable.

Automatic Renewals

Unless otherwise specified in your subscription agreement, eligible subscriptions automatically renew at the end of each billing cycle.

Renewal charges will be processed using the payment method associated with your account. Customers are responsible for maintaining accurate payment information and monitoring renewal dates.

If a subscription renews successfully before a cancellation request is received, the renewal charge will generally not be refunded unless required by applicable law or approved as an exception by GloxadX.

Where required by applicable consumer protection laws, GloxadX will provide appropriate renewal notices or obtain consent before renewing subscriptions.

Custom Software Development Services

GloxadX specializes in the design, development, implementation, deployment, and maintenance of custom software solutions tailored to the unique requirements of each client.

Because custom software projects require significant investment of engineering time, technical expertise, research, project planning, infrastructure allocation, and intellectual property development, refunds for custom software development are limited.

Unless otherwise provided in a signed agreement:

  • Project deposits are non-refundable once project planning or development has commenced.
  • Payments for completed project milestones are non-refundable.
  • Deliverables that have been accepted by the client are not eligible for refund.
  • Refunds will not be granted due to changes in business strategy, market conditions, staffing changes, budget constraints, or internal organizational decisions after work has begun.
  • Delays caused by the client, including delayed approvals, incomplete requirements, or failure to provide requested information, do not constitute grounds for a refund.

Where a project is terminated before completion, GloxadX may, at its sole discretion, refund any unused portion of prepaid funds after deducting the value of work completed, expenses incurred, third-party costs, and administrative charges.

Project Milestones and Deliverables

Many software development projects are delivered using milestone-based billing. Each milestone represents a completed phase of work and may include planning, design, development, testing, deployment, documentation, or implementation activities.

Upon completion of a milestone:

  • Clients are responsible for reviewing the deliverables within the review period specified in the applicable agreement.
  • If no material objections are raised within the agreed review period, the milestone shall be deemed accepted.
  • Accepted milestones are considered completed and are not eligible for refund.
  • Requests for additional functionality beyond the agreed scope may require a separate quotation and are not considered defects.

GloxadX will make commercially reasonable efforts to correct verified defects that materially prevent the agreed deliverables from functioning as specified.

Change Requests and Scope Modifications

Software development projects frequently evolve during implementation. Any request to modify the agreed scope of work, technical specifications, project timeline, integrations, or functionality after project commencement shall be treated as a change request.

Change requests may:

  • Increase project costs.
  • Extend project timelines.
  • Require additional engineering resources.
  • Require revised contractual terms.

Payments made for approved change requests are subject to this Refund Policy and are generally non-refundable once implementation has commenced.

Artificial Intelligence (AI) Products and Services

GloxadX develops and provides artificial intelligence products, machine learning solutions, AI assistants, automation systems, intelligent workflows, predictive analytics, large language model (LLM) integrations, and other AI-powered technologies.

Customers acknowledge that:

  • AI systems produce probabilistic outputs and may occasionally generate inaccurate, incomplete, outdated, or unexpected responses.
  • AI-generated outputs should be independently reviewed before being relied upon for legal, financial, medical, regulatory, engineering, or other high-risk decisions.
  • Variations in AI output quality do not, by themselves, constitute a service failure or create an entitlement to a refund.

Refunds will generally not be issued solely because:

  • AI responses did not meet subjective expectations.
  • Users disagreed with AI-generated recommendations.
  • Generated content required editing or refinement.
  • AI outputs differed from user assumptions or preferences.

Where an AI service experiences a material technical failure caused solely by GloxadX and no reasonable remedy can be provided, GloxadX may, at its discretion, offer a refund, service credit, or subscription extension.

SaaS Platforms, Cloud Services, and Managed Services

GloxadX offers Software-as-a-Service (SaaS), cloud-hosted applications, managed services, and enterprise platforms that require continuous investment in infrastructure, security, maintenance, monitoring, backups, and feature enhancements. Subscription fees support ongoing service availability and operational costs.

Unless otherwise required by applicable law or agreed in writing:

  • Fees for active subscription periods are non-refundable.
  • Temporary service interruptions, scheduled maintenance, or minor service degradation do not automatically qualify for a refund.
  • Service outages caused by third-party providers, internet service providers, cloud infrastructure providers, force majeure events, or customer-controlled environments are generally not refundable.

Where a material service interruption is directly attributable to GloxadX and exceeds any applicable service commitments under a Service Level Agreement (SLA), the customer's remedy shall generally be limited to service credits or other remedies expressly provided in the SLA.

APIs, Developer Services, and Usage-Based Billing

Certain GloxadX services are billed based on API requests, compute usage, storage consumption, bandwidth, transactions, or other measurable usage metrics. Charges incurred for actual usage are generally non-refundable.

Refunds will not ordinarily be granted because:

  • An API was integrated incorrectly.
  • The customer exceeded usage limits.
  • Applications generated excessive requests.
  • Customer systems created unintended traffic.
  • API keys were mishandled by the customer.

Customers are responsible for implementing appropriate security controls to protect API credentials and monitor usage.

Consulting and Professional Services

GloxadX provides strategic consulting, digital transformation advisory, technical architecture, cybersecurity assessments, cloud consulting, product strategy, business process optimization, AI advisory, and other professional services. Professional services are billed based on expertise, time, and resource allocation rather than guaranteed business outcomes.

Accordingly:

  • Fees for completed consulting sessions are non-refundable.
  • Advisory recommendations are provided based on information available at the time of engagement.
  • Business decisions made by the client remain the client's responsibility.
  • Differences in expected business outcomes do not constitute grounds for a refund.

Where consulting services have been prepaid but have not yet commenced, GloxadX may consider a partial refund after deducting any administrative, planning, or scheduling costs already incurred.

Enterprise Agreements and Government Contracts

Enterprise customers, government agencies, educational institutions, nonprofit organizations, multinational corporations, and strategic partners may enter into negotiated agreements that contain customized payment, cancellation, and refund provisions.

Where such agreements exist:

  • The signed contract shall govern all refund rights and obligations.
  • This Refund Policy shall apply only to matters not expressly addressed in the applicable agreement.
  • Enterprise clients may be subject to milestone payments, procurement procedures, acceptance testing, warranty obligations, or service credits instead of refunds.

Nothing in this Refund Policy shall override any mandatory contractual commitments expressly agreed between GloxadX and an enterprise customer.

Technical Support Services

Technical support services may include incident response, troubleshooting, software maintenance, configuration assistance, updates, patches, and customer support. Support plans are generally sold as recurring service subscriptions.

Unless otherwise stated:

  • Fees paid for technical support plans are non-refundable once the support period has commenced.
  • Resolution times may vary depending on issue complexity and support tier.
  • Refunds will not be granted solely because a customer expected a faster response than the applicable support commitment.

Where GloxadX fails to provide the contracted level of support, the company may, at its discretion or as provided under an SLA, offer service credits or other appropriate remedies.

Training, Workshops, Certification Programs, and Events

GloxadX offers instructor-led training, online courses, workshops, certification programs, bootcamps, seminars, webinars, conferences, and technology events.

Refund eligibility depends on the timing of cancellation:

  • Cancellation before course materials are released or before the commencement of training may qualify for a refund, subject to administrative deductions.
  • Once course access has been granted, training has commenced, or learning materials have been delivered, refunds are generally not available.
  • Certification examination fees are non-refundable once an examination has been scheduled or completed.
  • Failure to attend a scheduled training session or event does not entitle the participant to a refund.

Where GloxadX cancels or substantially reschedules a training program or event and an alternative arrangement cannot reasonably be provided, eligible participants may receive a refund, credit, or transfer to a future session, at GloxadX's discretion or as required by applicable law.

Payment Methods

GloxadX accepts payment through various secure payment methods, which may include:

  • Credit and debit cards
  • Bank transfers
  • Electronic funds transfers (EFT)
  • Mobile payment services
  • Digital wallets
  • Payment gateways
  • International wire transfers
  • Enterprise invoicing
  • Purchase Orders (POs), where approved
  • Other payment methods made available by GloxadX

Payments are processed by authorized third-party payment providers that comply with applicable payment security standards. GloxadX does not store complete payment card information on its systems.

Customers are responsible for ensuring that their selected payment method is valid, authorized, and contains sufficient funds to complete each transaction.

Billing Accuracy

Customers are responsible for reviewing invoices, subscription confirmations, purchase receipts, and billing notifications promptly.

If a customer believes that a billing error has occurred, they should notify GloxadX as soon as reasonably possible.

Billing disputes should generally be reported within thirty (30) days from the date of the transaction unless a longer period is required by applicable law. Failure to report billing discrepancies within a reasonable period may affect our ability to investigate and resolve the issue.

Duplicate Payments and Billing Errors

Where GloxadX determines that a customer has been charged more than once for the same transaction due to a system error or processing issue, we will take appropriate corrective action.

This may include:

  • Refunding the duplicate payment.
  • Applying the duplicate amount as a service credit.
  • Offsetting the amount against future invoices, with the customer's agreement.

Customers may be asked to provide supporting documentation to assist in the investigation of duplicate or erroneous charges.

Unauthorized Transactions

If you believe your payment method has been used without authorization in connection with a GloxadX transaction, you should:

  • Notify your financial institution immediately.
  • Contact GloxadX Customer Support without unnecessary delay.
  • Provide all relevant information to assist with the investigation.

GloxadX reserves the right to investigate suspected unauthorized transactions before issuing any refund. Where fraud is confirmed, appropriate corrective action will be taken in accordance with applicable laws and payment network requirements.

Fraud Prevention

To protect our customers and our business, GloxadX maintains fraud detection and prevention measures.

Refund requests may be delayed or declined where we reasonably suspect:

  • Identity theft.
  • Payment fraud.
  • Account compromise.
  • Money laundering.
  • Abuse of promotional offers.
  • Misuse of free trials.
  • Chargeback abuse.
  • False refund claims.
  • Any other fraudulent or unlawful activity.

Where permitted by law, GloxadX may request additional verification before processing refunds.

Chargebacks

Customers are encouraged to contact GloxadX before initiating a chargeback with their payment provider. Many billing concerns can be resolved quickly through our support team.

If a chargeback is initiated:

  • GloxadX reserves the right to suspend access to affected accounts while the dispute is under review.
  • We may submit documentation to the payment provider demonstrating that services were properly delivered.
  • Repeated or abusive chargebacks may result in account suspension, termination, or restrictions on future purchases.
  • Customers remain responsible for legitimate charges that are ultimately determined to be valid.

Nothing in this section limits any rights available to consumers under applicable law.

Taxes, Duties, and Government Charges

Unless otherwise stated:

  • Prices may exclude applicable taxes.
  • Customers are responsible for taxes imposed by their jurisdiction, including value-added tax (VAT), goods and services tax (GST), sales tax, withholding tax, or similar charges.
  • Regulatory fees, licensing fees, customs duties, or government-imposed charges that have already been remitted may not be refundable.

Where required by law, refunds will include refundable taxes that were originally collected.

Currency and Exchange Rates

GloxadX serves customers globally and may accept payments in multiple currencies. Refunds will generally be processed in the original currency of payment whenever reasonably practicable.

Customers acknowledge that:

  • Currency exchange rates fluctuate.
  • Banks and payment providers may apply conversion fees.
  • Exchange rate differences are outside GloxadX's control.
  • GloxadX is not responsible for gains or losses resulting from currency conversion.

Refund amounts may differ slightly from the original payment due to exchange rate fluctuations or financial institution fees.

International Customers

GloxadX provides services to customers in multiple jurisdictions, including but not limited to:

  • United States
  • United Kingdom
  • Canada
  • Nigeria
  • Ghana
  • Kenya
  • South Africa
  • Other countries throughout Africa, Europe, the Americas, Asia, and Oceania.

While this Refund Policy establishes our global standards, certain jurisdictions provide mandatory consumer protections that cannot legally be excluded or limited. Where local consumer protection laws grant additional rights, those statutory rights shall prevail to the extent required by applicable law.

Consumer Rights

Nothing in this Refund Policy is intended to exclude, restrict, or limit any consumer rights that cannot lawfully be excluded under applicable legislation.

Depending on your jurisdiction, you may have rights under laws including, but not limited to:

  • Consumer protection legislation.
  • Electronic commerce regulations.
  • Distance selling regulations.
  • Digital content legislation.
  • Data protection and privacy laws.
  • Competition laws.
  • Mandatory statutory warranties.

Where applicable law provides a consumer with greater refund rights than those described in this policy, GloxadX will comply with those legal obligations.

Customers requesting a refund should submit their request through GloxadX Customer Support.

Refund requests should include:

  • Customer name.
  • Registered email address.
  • Company name (if applicable).
  • Order or invoice number.
  • Date of purchase.
  • Description of the product or service.
  • Reason for the refund request.
  • Supporting documentation, where available.

Submission of a refund request does not guarantee approval. Each request is reviewed individually based on this Refund Policy, applicable agreements, and relevant legal requirements.

Upon receiving a refund request, GloxadX may:

  • Verify the customer's identity.
  • Review account activity.
  • Confirm payment records.
  • Assess service delivery.
  • Evaluate project status.
  • Review contractual obligations.
  • Consult technical teams where necessary.
  • Request additional information from the customer.

Failure to provide requested information may delay or prevent completion of the review.

Refund Processing Time

Approved refunds will generally be processed within ten (10) to fifteen (15) business days after approval.

Actual processing times depend on:

  • Banking institutions.
  • Payment processors.
  • Card issuers.
  • International payment networks.
  • Currency conversion requirements.

GloxadX is not responsible for delays caused by financial institutions or third-party payment providers after a refund has been initiated.

Partial Refunds

Where appropriate, GloxadX may approve a partial refund rather than a full refund.

Partial refunds may reflect:

  • Work already completed.
  • Resources allocated.
  • Licenses already issued.
  • Cloud infrastructure consumed.
  • Administrative costs.
  • Third-party expenses.
  • Professional services already rendered.

The amount of any partial refund shall be determined by GloxadX in good faith, taking into account the circumstances of each case and any applicable contractual obligations.

Service Credits

In certain situations, GloxadX may determine that service credits represent a more appropriate remedy than a monetary refund.

Service credits may be applied toward:

  • Future subscription fees.
  • Platform upgrades.
  • Additional consulting services.
  • Training programs.
  • Professional services.
  • Future software development engagements.

Unless otherwise stated, service credits:

  • Have no cash value.
  • Are non-transferable.
  • May expire if not used within the period specified by GloxadX.
  • Cannot be redeemed for cash except where required by law.

Exceptional Circumstances

GloxadX recognizes that exceptional situations may arise. In extraordinary circumstances, including significant service failures directly attributable to GloxadX, widespread technical incidents, or other situations where strict application of this Refund Policy would produce an unfair outcome, GloxadX may, at its sole discretion and acting in good faith:

  • Approve an exception to this Refund Policy.
  • Offer a goodwill refund.
  • Provide service credits.
  • Extend subscription terms.
  • Replace affected services.
  • Provide other reasonable remedies.

The exercise of discretion in one case does not create an obligation or precedent for future cases.

Cancellation of Services by GloxadX

GloxadX reserves the right to suspend, discontinue, or terminate products or services in accordance with our Terms of Service, applicable agreements, or applicable law.

Where services are terminated by GloxadX without cause and prior to the delivery of prepaid services, we may, at our sole discretion or as required by applicable law:

  • Issue a full refund for undelivered services;
  • Issue a partial refund reflecting the unused portion of prepaid services;
  • Provide equivalent replacement services;
  • Apply service credits toward future purchases; or
  • Offer another commercially reasonable remedy.

No refund shall ordinarily be provided where services are suspended or terminated due to:

  • Breach of our Terms of Service or other agreements;
  • Fraudulent, deceptive, or unlawful conduct;
  • Non-payment of fees;
  • Abuse of our systems or services;
  • Violations of intellectual property rights;
  • Security threats or activities that compromise our platforms;
  • Any conduct that materially interferes with our operations or those of our customers.

Customer Responsibilities

Customers play an important role in ensuring successful delivery of our products and services.

Customers are responsible for:

  • Providing complete and accurate information during purchase and onboarding.
  • Reviewing project requirements, quotations, and contracts before approval.
  • Maintaining current payment information.
  • Safeguarding account credentials and API keys.
  • Promptly reviewing delivered work and reporting legitimate issues within agreed review periods.
  • Cooperating with GloxadX during investigations relating to billing disputes or refund requests.
  • Maintaining backups of their own data unless backup services are expressly included in the applicable agreement.
  • Complying with all applicable laws and regulations when using GloxadX products and services.

Failure to meet these responsibilities may affect refund eligibility where permitted by applicable law.

Service Interruptions and Force Majeure

GloxadX shall not be liable for delays, interruptions, or inability to provide services caused by circumstances beyond our reasonable control.

Such events may include, but are not limited to:

  • Natural disasters;
  • Floods, fires, earthquakes, or severe weather;
  • Acts of war or terrorism;
  • Civil unrest or political instability;
  • Epidemics or pandemics;
  • Government actions or regulatory changes;
  • Internet or telecommunications failures;
  • Power outages;
  • Cybersecurity incidents or widespread cyberattacks;
  • Failures of third-party cloud providers or infrastructure vendors;
  • Labor disputes or shortages;
  • Transportation disruptions.

Where such events materially affect service delivery, GloxadX may extend delivery timelines, temporarily suspend affected services, or offer alternative arrangements where reasonably practicable.

Except where required by law or expressly provided in a written agreement, force majeure events do not automatically entitle customers to refunds.

40

Limitation of Refund Liability

To the fullest extent permitted by applicable law, GloxadX's total liability relating to refunds shall not exceed the amount actually paid by the customer for the specific product or service giving rise to the claim.

Under no circumstances shall GloxadX be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to:

  • Loss of revenue;
  • Loss of profits;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Loss or corruption of data;
  • Business interruption;
  • Reputational damage;
  • Costs associated with substitute products or services.

Nothing in this Refund Policy excludes liability that cannot lawfully be excluded under applicable legislation.

Dispute Resolution

GloxadX is committed to resolving customer concerns promptly, fairly, and in good faith. Customers are encouraged to contact our Customer Success or Legal Team before initiating formal legal proceedings.

Where a dispute arises relating to a refund request, the parties agree to make reasonable efforts to resolve the matter through:

  1. Informal discussions;
  2. Written correspondence;
  3. Good-faith negotiations; and
  4. Mediation or another mutually agreed alternative dispute resolution process where appropriate.

If a dispute cannot be resolved through these processes, either party may pursue available legal remedies in accordance with the governing law and jurisdiction specified in the applicable agreement or, where no separate agreement exists, under the governing law provisions set out below.

Governing Law

This Refund Policy shall be governed by and interpreted in accordance with the laws of the jurisdiction specified in the applicable customer agreement.

Where no separate agreement exists, this Refund Policy shall be governed by the laws of the jurisdiction in which the relevant GloxadX contracting entity is incorporated or otherwise legally established.

For customers located in jurisdictions with mandatory consumer protection laws, nothing in this Refund Policy shall limit or exclude any statutory rights that cannot legally be waived.

Cross-Border Transactions

Because GloxadX serves customers globally, purchases may involve cross-border transactions.

Customers acknowledge that:

  • Payment processing may involve international financial institutions.
  • Taxes and regulatory requirements vary by jurisdiction.
  • Local banking regulations may affect refund timelines.
  • Currency exchange rates may fluctuate between the original payment and any approved refund.

GloxadX will process approved refunds using commercially reasonable methods while complying with applicable laws, sanctions, export controls, anti-money laundering (AML), and counter-terrorist financing (CTF) requirements.

Policy Amendments

GloxadX may amend, revise, or update this Refund Policy from time to time to reflect:

  • Changes in our products or services;
  • New technologies;
  • Business operations;
  • Legal or regulatory developments;
  • Industry best practices; or
  • Operational improvements.

The updated version will be published on the GloxadX website and will become effective on the stated effective date. Material changes may also be communicated through email, customer dashboards, or other appropriate communication channels where required by law.

Continued use of GloxadX products or services after the effective date of an updated Refund Policy constitutes acceptance of the revised policy.

Severability

If any provision of this Refund Policy is determined by a court or other competent authority to be invalid, illegal, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the affected provision shall be deemed severed from this Refund Policy. The remaining provisions shall remain in full force and effect.

No Waiver

Failure or delay by GloxadX in exercising any right, remedy, or provision under this Refund Policy shall not constitute a waiver of that right.

Any waiver shall be effective only if made in writing by an authorized representative of GloxadX. A waiver of one breach shall not constitute a waiver of any subsequent or continuing breach.

Entire Agreement

This Refund Policy forms part of the legal agreement between GloxadX and its customers. It should be read together with, where applicable:

  • Terms of Service;
  • Privacy Policy;
  • Master Services Agreement (MSA);
  • Service Level Agreement (SLA);
  • Software Development Agreement;
  • Enterprise Subscription Agreement;
  • Statement of Work (SOW);
  • Data Processing Agreement (DPA);
  • Acceptable Use Policy; and
  • Any other applicable contractual documents.

In the event of any conflict between this Refund Policy and a separately negotiated written agreement signed by both parties, the terms of that written agreement shall prevail to the extent of the conflict.
